Understandably, after years of social isolation, travelers are also putting more emphasis on who they’re with and what they do together rather than where they go and what they see.

To lower the barrier to accessing equity, we've structured Cohere in a way that provides members with shared ownership of a continually expanding network of co-living communities around the world, providing members with an accessible, tokenized, ownership-centric model.

We are combining the latest decentralized finance (DeFi) innovations and fully-compliant investment instruments, which enables us to offer a structured exit opportunity through secondary markets and token redemption, providing ease of liquidity for investors. To make our offering as widely available as possible, we have developed a number of channels for everyone to be able to participate in the $COHERE offering.

Accredited U.S. Investors and Non-U.S. Investors
These investors can invest into Cohere Network Ltd. via our portal at invest.cohere.network under the Reg D 506(c) exemption or the Reg S exemption for non-U.S. investors. There is a KYC process and verification process of U.S. accredited investors. We are using an innovative financial instrument to execute the distribution of $COHERE tokens as cryptographic representations of future equity.

Non-Accredited U.S. Investors
Due to the regulations of the SEC, non-accredited U.S. investors cannot invest through Reg D or Reg S. Our ethos at Cohere is that every member should have access to gaining equity and ownership in the value they help create. That is why we have structured an equity crowdfunding raise using Reg CF. Now, any person, regardless of socioeconomic status, can invest a minimum of $100 and gain equity via a traditional SAFE agreement through our WeFunder Campaign.

It's important to us that all of our members are investors so everyone gets the opportunity to realize the gains of a growing pool of real estate assets. These two financial vehicles paired with our Decentralized Autonomous Organization (DAO) allow us to ensure the success of Cohere while giving every member the ability to choose their own adventure when it comes to taking part in co-creating Cohere.

When we make ownership accessible to our members we combine our collective energy towards an outcome greater than the sum of its parts. By becoming a member of Cohere, you gain fractional ownership of the entire asset pool Cohere holds through the $COHERE token. All the buildings, permaculture farms, and community centers are now owned directly by the members themselves.

Members can choose to engage in Cohere projects, and other forms of value exchange that directly benefits the network. Contributions that directly or indirectly enhance the value of the network are rewarded through the issuance of $COHERE tokens. As a benefit of the financial instrument we are using, the value of each individual member’s holdings will continue to appreciate as more tokens are minted. Now, when a single member does well, all members can reap the benefits from that single person. This is how we create a new economic model to align incentives and build a better world we all aspire to live in.

CohereDAO exists to support the wider Cohere ecosystem whilst remaining an independent entity. CohereDAO intends to utilize cryptographically-secured organizational management tools to improve and automate CohereDAO’s business operations, governance, and treasury management.

Develop a World-Leading Educational Platform
Cohere will develop a comprehensive educational platform that combines the best of higher training, DIY educational tools, apprenticeship model (onsite training) and indigenous wisdom. Through the platform, members will be able to choose from a suite of educational opportunities to enhance their community-building and environmental regeneration capabilities. The platform would combine metaverse integration, coupled with real world experiential engagements. The software would be in iterative development, and would be informed by the DAO’s input throughout its evolution.

To make our vision a reality, we are launching a limited edition Membership NFT series which will represent membership in CohereDAO. Doing so, will enable equal opportunities for governance and voting that will influence the future of CohereDAO while allowing us to raise the necessary seed funding for CohereDAO developments. We are working with talented artists and leaders in the NFT space to bring these Membership NFTs to reality.

The Design
The NFTs will represent digital membership through a Cohere access card. The NFTs will be co-designed alongside leading NFT artists. We will have two tiers of membership that members will be able to mint, each of which will represent different access points in the community and governance power, among other perks.

The Mint
The NFTs will be minted through the Cohere website. Once the minting has occurred the NFTs will be listed on sale. In order to enter the community, the NFT holders will go through an application process that will be reviewed by the Community Guild and the wider Cohere membership in order to ensure alignment with the Cohere values and mission. Pre-applicants will have whitelist access to the minting and will be able to mint the NFTs once they have been approved by the Community Guild (see Systems and Governance).

In order to ensure accessibility and tiered membership to the Cohere community, we have developed the following membership categories which will allow those who are wanting to join the Cohere community a chance to integrate at the levels which they see fit. The CohereDAO NFT will also serve as an access point for membership across these various tiers. 

Visitors
These are members with the lowest level of access. They can engage in the digital aspects of Cohere by joining community boards, purchase discounted goods and services from our other members, participate in educational programs and other offerings at this level. This level is free to join and has very limited access to Cohere locations. They can stay at Cohere locations (CL) via invite, only from other higher tier members or Cohere directly. These members have full access to partner locations within the network.

Contributors
These members are engaged in the various layers of the creation process of Cohere or network activities. These members are contributing a few hours a month to the DAO projects or doing bounties for the DAO or Cohere directly. They have access to stay at Cohere locations for 3-9 months (mid- to long-term stays). They have the opportunity to earn DAO NFTs or Cohere Securities depending on what projects they are involved in. They are not required to contribute but if they want to move to the next tier, they would need to contribute a certain amount of time, energy, and/or other forms of capital, to advance — along with completing specific training programs and educational courses. These members contribute $30/mo to gain access to the network at this level, in exchange for securities tokens of commensurate value.

Creators
These members are dedicated to the Cohere mission and provide critical roles in the network. They are the community managers, facilitators, wellness practitioners, gardeners, chefs, builders, etc. and are highly involved in the physical aspects of Cohere operations. They are mentors and support the lower tiers with their journey through the network and are the backbone of developing the stability and consistency of Cohere. They are the culture creators that support maintaining the vibe of coherence at all locations, helping to propagate the core values of Cohere and its members. These members contribute $150/mo to gain access to the network at this level, in exchange for securities tokens of commensurate value. They have the opportunity to not only gain DAO NFTs and $COHERE securities tokens, but also be paid out in fiat or ETH for their energy contributions. They are awarded longer term stays at our locations and additional perks that are location specific. They pay a higher price for network access in exchange for enhanced benefits, rewards, and compensation. They are training in various skills and have a level of knowledge and aptitude to be student teachers for other members.

Leaders 
These are the highest tier members that are deeply integrated into Cohere communities. They have progressed through the various educational skills to emerge as leaders within the network, providing expertise, advice, and extending the Cohere network. They are industry pioneers and organizational masterminds, capable of inspiring and motivating components of the network to collaborate towards a shared vision and project within the Cohere network. They are able to launch their own Cohere community, are paid in fiat or ETH, and can earn community tokens. Through their work, they earn substantial multiple higher returns than other tiers because their work enhances the entire network through the expansion of the community.

As a DAO, we will be relying on the CohereDAO members to run our governance, treasury management, and key next steps as a DAO. Through Membership NFTs, CohereDAO members will be able to vote through Snapshot on DAO-related proposals, drive hires for Cohere, and engage in activities that will result in positive social and environmental change. By integrating a DAO model into Cohere’s operations, Cohere is radically defying traditional organizational structures by drawing on the power and philosophy of web3 communities. The DAO framework provides an opportunity for Cohere to empower the members who are keen to get involved.

The following section depicts CohereDAO’s operational and governance structure. Below, you will find a brief description on the activities of each community member within the CohereDAO ecosystem and their roles in the governance of Cohere.

CohereDAO Members
This represents all CohereDAO Membership NFT holders. These individuals collectively comprise CohereDAO’s community and contribute to its governance.

Guilds
Each Guild represents a different working group within the CohereDAO ecosystem. These guilds execute on partnerships, editorial, financial, and operational aspects of the DAO. They consist of individual CohereDAO contributors as well as Leads. Each Guild is given a budget to execute on their tasks to hire, invest, and develop their projects. Contributors to the Guilds are awarded funds on a bounty-basis in order to provide executable tasks and operations in CohereDAO. New Guilds are spun up as proposals to the wider community ecosystem through a Snapshot vote.

Lead
These are specialized leaders within each Guild that provide strategic direction for each of the Guilds across CohereDAO. They are responsible for payroll, timelines, and wider-DAO reporting and community engagement. Leads meet on a regular basis to provide each other, the Board, and the CohereDAO community with updates, share Key Performance Indicators (KPI’s), and opportunities. Leads are on the CohereDAO payroll.

Governance
Consists of all NFT holders who vote to propose DAO changes, updates, and new directions through Snapshot and engage with governance channels and forums. As full-fledged Members, NFT holders will be able to vote on all proposals brought forth on Snapshot.

CohereDAO Board
This is a diverse set of CohereDAO Members including community members, CohereDAO staff, and CohereDAO advisors. The Board hosts weekly Town Halls in the Discord to update the CohereDAO community with updates and progress reports.
